These Terms of Use (the "Terms") govern access to and use of the website stackandfind.com and all related pages, features and services (collectively, the "Platform"). The Platform is operated by MAKEITFLOW AGENCY G.P., a general partnership having its head office at 1599 rue du Sud, CP 41, Cowansville (Québec) J2K 3H1, Canada, doing business as Stack&Find ("Stack&Find", "we", "us" or "our").
Please read these Terms carefully. Part A applies to everyone who uses the Platform. Part B contains additional terms that apply to Experts. Our Privacy Policy explains how we handle personal information and forms part of these Terms.
PART A: GENERAL TERMS (ALL USERS)
1. Definitions
In these Terms, the following words have the meanings below:
- "User" means any person who accesses or uses the Platform, whether or not they hold an account, including Visitors, Businesses and Experts.
- "Visitor" means a User who browses the Platform without an account.
- "Business" means a User, or the organization on whose behalf a User acts, who uses the Platform to search for, contact or review Experts.
- "Expert" means an independent consultant or agency whose application has been approved by Stack&Find and who holds a Profile on the Platform.
- "Profile" means an Expert's public page on the Platform, including the software stack, services, certifications and other information displayed.
- "Contact Request" means a message sent by a Business to an Expert through a contact form on the Platform.
- "Booking Link" means a link, provided by an Expert, to a third-party scheduling tool that allows a Business to book a meeting with that Expert.
- "Engagement" means any discussion, agreement, mandate or project between a Business and an Expert, whether or not it began through the Platform.
- "Review" means a rating, comment or evaluation of an Expert posted on the Platform.
- "User Content" means any information, text, image, logo, document, Review or other material that a User submits to the Platform.
- "Free Plan" and "Pro Plan" mean the listing plans available to Experts, as described on our pricing page.
2. Acceptance of these Terms
2.1. By accessing or using the Platform, creating an account, or clicking a button indicating your acceptance, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
2.2. You must be at least 18 years old and have the legal capacity to enter into a contract to create an account. If you use the Platform on behalf of an organization, you declare that you are authorized to bind that organization to these Terms, and "you" includes that organization.
3. What Stack&Find is, and what it is not
3.1. Stack&Find is an online directory that helps Businesses find Experts based on the software they use. We display Profiles, transmit Contact Requests, display Booking Links and publish Reviews.
3.2. Stack&Find is not a party to any Engagement. We do not provide the services offered by Experts, we do not supervise or control Experts, and we do not act as agent, employer, partner, broker or representative of any Business or Expert. Any Engagement is concluded solely between the Business and the Expert, on terms they negotiate between themselves.
3.3. We do not receive, hold or process any payment between a Business and an Expert, and we charge no commission on Engagements. The only fee we charge is the Pro Plan subscription paid by Experts who choose it.
3.4. We do not guarantee that a Business will find a suitable Expert, that an Expert will receive Contact Requests, or that any Engagement will be concluded or succeed.
4. MAKEITFLOW listing disclosure
4.1. The Platform is operated by MAKEITFLOW AGENCY G.P., which also offers consulting services and appears on the Platform as an Expert. The MAKEITFLOW Profile is clearly identified as being operated by the company that operates Stack&Find.
4.2. The MAKEITFLOW Profile is subject to the same display rules, Review rules and verification criteria as other Profiles. We do not use Contact Requests addressed to other Experts, or information submitted by other Experts, to solicit Businesses on behalf of MAKEITFLOW.
5. How Profiles are displayed
5.1. Search results and Profile order are determined mainly by the match between the software stack selected by the Business and the stack listed by the Expert. Other factors may include Profile completeness, verification status, Reviews, the Expert's plan and, where the Business provides it, location or language.
5.2. Pro Plan Profiles may receive additional features or visibility, as described on our pricing page. Any paid placement is identified as such.
6. Accounts
6.1. Businesses and Experts may create an account. You agree to provide accurate, complete and current information and to keep it up to date.
6.2. You are responsible for keeping your login credentials confidential and for all activity under your account. You must notify us without delay at privacy@stackandfind.com if you suspect any unauthorized access.
6.3. You may not create an account on behalf of another person without their authorization, create more than one account for the same person or organization without our consent, or transfer your account to anyone else.
7. Contact Requests and Booking Links
7.1. Businesses do not see an Expert's direct contact details. When a Business submits a Contact Request, the information in the form (such as name, email address, company, software stack and message) is transmitted to the Expert selected by the Business, so that the Expert can respond.
7.2. Once an Expert receives a Contact Request, that Expert is responsible for how it uses and protects the information received, under its own privacy practices and applicable law.
7.3. Booking Links lead to third-party scheduling tools chosen by the Expert. Your use of these tools is governed by their own terms and privacy policies, and by the practices of the Expert concerned.
8. Verification and badges
8.1. We review every Expert application manually before a Profile is published. We may check the certifications, partner statuses and other qualifications declared by an Expert using the documents provided or publicly available sources.
8.2. A verification badge means only that, at the time of verification, we were reasonably satisfied that the certification or status displayed was held by the Expert. A badge is not a guarantee, recommendation or endorsement of the quality, competence, availability, pricing or conduct of an Expert. Certifications may expire or change after verification.
8.3. Businesses remain responsible for their own due diligence before entering into any Engagement, including asking for references, confirming qualifications and agreeing on written terms.
9. Reviews
9.1. Reviews must reflect the reviewer's genuine, first-hand experience with the Expert. You may not post a Review of your own Profile, of an Expert with whom you have a family, financial or business relationship, or of a competitor.
9.2. Experts may not offer, and Users may not accept, any payment, discount or other benefit in exchange for posting, changing or removing a Review. Experts may not write Reviews about themselves or ask others to do so on their behalf.
9.3. Reviews must not contain false, defamatory, discriminatory, obscene or threatening content, confidential information, or personal information about third parties.
9.4. We may moderate Reviews and may refuse, suspend or remove any Review that we reasonably believe breaches these Terms or applicable law. We do not remove or alter Reviews simply because they are negative. Experts may report a Review they believe breaches these Terms and may post a public response.
9.5. Reviews express the opinion of their authors, not ours. We do not verify every statement made in a Review.
10. User Content
10.1. You keep ownership of your User Content. By submitting User Content, you grant Stack&Find a non-exclusive, worldwide, royalty-free and transferable licence, with the right to sublicense to our service providers, to host, store, reproduce, display, adapt (for formatting and display purposes only), translate and publish that User Content for the purpose of operating, improving and promoting the Platform. This licence lasts for as long as the User Content remains on the Platform, plus any reasonable period needed to remove it from our backups.
10.2. You declare that you hold all rights needed to submit your User Content and to grant the licence above, and that your User Content does not infringe any third party's rights, including intellectual property, privacy and image rights.
11. Acceptable use
You agree not to:
- provide false or misleading information, or impersonate any person or organization;
- use the Platform for any unlawful, fraudulent or discriminatory purpose;
- send Contact Requests that are unsolicited advertising, spam, or unrelated to a genuine need for an Expert's services;
- copy, scrape, extract, or collect data from the Platform by automated means, or build a competing directory using data from the Platform;
- use information obtained through the Platform for direct marketing without the consent required by law;
- introduce any virus, malicious code or harmful component, or interfere with the security, integrity or performance of the Platform;
- bypass or attempt to bypass any access restriction, or reverse engineer, decompile or disassemble any part of the Platform, except as permitted by law;
- post content that infringes the rights of others or breaches these Terms.
12. Third-party trademarks and software
12.1. Software names and logos displayed on the Platform (such as monday.com, Make, HubSpot or Notion) are the property of their respective owners. They are used solely to identify the software in which Experts work. Their display does not imply any affiliation with, sponsorship by or endorsement from their owners, unless expressly stated.
12.2. The Platform may contain links to third-party websites and services. We do not control them and are not responsible for their content, availability or privacy practices.
13. Our intellectual property
13.1. The Platform, including its design, code, databases, compilation of content, texts, graphics, and the Stack&Find name and logo, is the property of MAKEITFLOW AGENCY G.P. or its licensors and is protected by intellectual property laws.
13.2. Subject to these Terms, we grant you a personal, limited, revocable, non-exclusive and non-transferable right to access and use the Platform for its intended purpose. All rights not expressly granted are reserved.
14. Electronic communications
14.1. You agree that we may communicate with you electronically, including by email and through the Platform, and that such communications satisfy any legal requirement that a communication be in writing.
14.2. We send service messages related to your account, Contact Requests, Reviews and billing. We send newsletters and marketing emails only with your consent, and you may unsubscribe at any time using the link in each message or by writing to us.
15. Disclaimers
15.1. The Platform is provided "as is" and "as available". To the extent permitted by law, we do not warrant that the Platform will be uninterrupted, error-free or secure, or that the information displayed, including Profiles and Reviews, is accurate, complete or current.
15.2. Information on the Platform is provided for general information only and does not constitute legal, financial, technical or other professional advice.
15.3. We make no warranty regarding any Expert, Business or Engagement, including the quality, legality, safety or timing of any service provided by an Expert.
16. Limitation of liability
16.1. Except in the case of intentional or gross fault, Stack&Find and its partners, employees, agents and subcontractors shall not be liable for:
- any act, omission, statement, service or conduct of an Expert or a Business, or any dispute relating to an Engagement;
- any User Content, including Profiles and Reviews;
- any interruption, error, unauthorized access, or loss or alteration of data, including where caused by a third-party service;
- any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, business opportunities, goodwill or data.
16.2. To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Platform or these Terms shall not exceed the greater of (a) the fees you actually paid to us in the twelve (12) months before the event giving rise to the claim, or (b) one hundred dollars (CAD $100).
16.3. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for material injury caused by intentional or gross fault, or for bodily or moral injury. If you are a consumer, nothing in these Terms limits the rights you have under the Consumer Protection Act (Québec) or any other consumer protection law that applies to you.
17. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Stack&Find and its partners, employees, agents and subcontractors from any claim, loss, damage, cost or expense (including reasonable legal fees) arising from your breach of these Terms, your User Content, your Engagements, or your violation of any law or third-party right.
18. Suspension and termination
18.1. You may close your account at any time from your account settings or by writing to us.
18.2. We may suspend or close an account, remove a Profile, or refuse access to the Platform if we reasonably believe that a User has breached these Terms or applicable law, has provided false information, or presents a risk to other Users or to the Platform. Where reasonable, we will notify the User and give them an opportunity to correct the situation.
18.3. We may modify, suspend or discontinue all or part of the Platform. If we discontinue the Pro Plan, we will give Pro Plan Experts reasonable notice and refund any prepaid amount for the period after the discontinuation date.
18.4. Sections 10, 13, 15, 16, 17, 20 and 21 survive the termination of these Terms.
19. Changes to these Terms
19.1. We may amend these Terms from time to time. The "Last updated" date shows the latest version.
19.2. For material changes, we will notify account holders by email at least thirty (30) days before the change takes effect. The notice will describe the change and its effective date. If you do not agree to the change, you may close your account before the effective date, without penalty. Continued use of the Platform after the effective date constitutes acceptance of the amended Terms.
20. Governing law and jurisdiction
20.1. These Terms are governed by the laws in force in the Province of Québec and the federal laws of Canada that apply there.
20.2. Subject to any mandatory law that grants a consumer the right to bring a claim before the courts of their place of residence, the courts of the judicial district of Bedford, Québec, have exclusive jurisdiction over any dispute relating to the interpretation, application, performance, validity or effects of these Terms.
21. General provisions
21.1. Entire agreement. These Terms, the Privacy Policy and the pricing page form the entire agreement between you and Stack&Find concerning the Platform.
21.2. Severability. If any provision of these Terms is found invalid or unenforceable, it will be limited to the minimum extent necessary and the other provisions will remain in effect.
21.3. No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
21.4. Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a reorganization, merger, sale of assets or transfer of the Platform, with notice to you.
21.5. Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.
21.6. Language. These Terms are available in French and in English. In case of any discrepancy between the two versions, the French version prevails.
PART B: ADDITIONAL TERMS FOR EXPERTS
This Part B applies to every Expert, in addition to Part A. In case of conflict, Part B prevails for Experts.
22. Application and approval
22.1. Independent consultants and agencies may apply to be listed on the Platform. Each application is reviewed manually. We may approve or refuse an application, and may later suspend or revoke an approval, in good faith and based on criteria such as the accuracy of the information provided, the qualifications declared, the Expert's conduct, and compliance with these Terms.
22.2. The person submitting an application on behalf of an agency declares that they are authorized to bind the agency.
23. Expert obligations
Each Expert agrees to:
- keep its Profile accurate, complete and current, including its software stack, services, languages and location;
- declare only certifications, partner statuses and qualifications that it actually holds, provide supporting evidence on request, and inform us without delay if any of them expires, is withdrawn or changes;
- respond to Contact Requests in good faith and use the information received only to respond to the Business and, where the Business agrees, to discuss or perform an Engagement;
- not add a Business to any marketing list, or send it marketing messages, without the consent required by law;
- comply with privacy and data protection laws that apply to the personal information it receives through the Platform, including, where applicable, the Act respecting the protection of personal information in the private sector (Québec), PIPEDA and the GDPR;
- hold all licences, registrations and insurance required for its services, and be solely responsible for its taxes, fees and contractual commitments;
- not use the Platform to collect information about other Experts or to solicit other Experts' clients using data obtained from the Platform.
24. Independence of Experts
Experts are independent businesses. Nothing in these Terms creates an employment, agency, partnership, joint venture or franchise relationship between an Expert and Stack&Find. Each Expert alone is responsible for its Engagements, including scope, pricing, deliverables, payment, warranties and dispute resolution with Businesses.
25. Plans, fees and payment
25.1. Plans. Experts may choose the Free Plan or the Pro Plan. The features and price of each plan are described on our pricing page at the time of subscription.
25.2. Subscription and renewal. The Pro Plan is a subscription billed in advance for the billing period selected (for example, monthly or annually). It renews automatically at the end of each billing period for the same period, at the price then in effect, until cancelled.
25.3. Payment. Payments are processed by Stripe, our third-party payment processor, and are subject to Stripe's terms. We do not store full payment card numbers. By subscribing, you authorize us, through Stripe, to charge the payment method provided for each billing period.
25.4. Taxes. Prices do not include applicable taxes (such as GST, QST, HST or VAT), which will be added where required by law.
25.5. Failed payment. If a payment fails and is not corrected within a reasonable period after notice, the Profile will be moved to the Free Plan and Pro features will be removed.
25.6. Price changes. We may change the price of the Pro Plan by giving at least thirty (30) days' written notice. The new price applies from the next billing period following the notice period. You may cancel before it takes effect.
25.7. Cancellation. You may cancel the Pro Plan at any time from your account settings. Cancellation takes effect at the end of the current billing period, and Pro features remain available until then. Your Profile then moves to the Free Plan unless you close your account.
25.8. Refunds. Except where required by law or as provided in section 18.3, amounts paid are non-refundable, including for partial billing periods.
26. Profile content and promotion
26.1. Experts are solely responsible for the content of their Profiles. We may edit the format of a Profile for consistency and display, and may refuse or remove content that breaches these Terms.
26.2. Experts authorize us to use their name, logo and Profile content to promote the Platform (for example, in featured Expert sections, newsletters or social media posts). An Expert may ask us to stop such promotional use at any time by writing to us, and we will stop within a reasonable time.
27. Reviews concerning Experts
Experts may not require a Business to post, change or remove a Review as a condition of any Engagement. We will not remove a Review solely at an Expert's request unless the Review breaches these Terms or applicable law.
28. Closing a Profile
When an Expert closes its account, or its approval is revoked, its Profile and related Reviews are removed from public display within a reasonable time. We may keep certain information as described in our Privacy Policy, including billing records required by law.
